BOOKING CONDITIONS

Effective as of: 01.08.2025

§ 1 General Provisions
These conditions govern the contractual relationship between CURVE Models LLC ("Agency"), the models represented by it ("Model"), and the booking client ("Client"), unless expressly agreed otherwise in writing. The goal is to ensure a fair, professional, and industry-standard collaboration while protecting all parties from unrealistic expectations.

§ 2 Representation Scope
1. Declarations and bookings made through the Agency are binding on behalf of the Model. The Client is the party initiating the booking via the Agency, unless otherwise agreed in writing.
2. The Client owes the Agency a 20% commission on the agreed model fee or cancellation fee (plus applicable taxes), unless otherwise agreed in writing. The Agency accepts no liability for the contractual relationship between Client and Model.
3. The Client also owes the commission for repeat bookings as long as the Model is represented by the Agency. Direct bookings bypassing the Agency are not permitted.

§ 3 Types of Booking
1. Options are binding time reservations. They expire if no firm booking is made at least three U.S. business days before the start of the assignment (by 6:00 p.m. Eastern Time) or within one business day following a prompt by the Agency. Options are ranked based on order of receipt.
2. Firm Bookings These are binding for both parties and must be confirmed in writing by the Agency upon request.
3. Weather-dependent Bookings These must be explicitly labeled as such and are valid only at the Model’s current location. If weather conditions are unsuitable, the Client may cancel up to one hour before the start time at no charge. In this case, 50% of the model fee is payable.

§ 4 Cancellation
1. A firm booking may only be canceled for good cause and must be promptly communicated to the Agency.
2. Cancellation must occur at least as many U.S. business days in advance as the number of working and travel days booked, but no fewer than 3 business days.
3. If canceled before 12:00 noon (local time), that day counts toward the notice period.
4. Daily and hourly bookings must be canceled at least 24 hours in advance.
5. In case of model-initiated cancellation, the Agency will make reasonable efforts to provide an equivalent replacement.
6. In case of late or unjustified cancellation, the full model fee is due.

§ 5 Working Hours
1. A full-day booking includes 8 working hours, a half-day booking includes 4 hours. Standard working hours are 9:00 a.m. – 6:00 p.m., including a 1-hour break.
2. Working time begins upon the Model’s arrival at the agreed location. Preparation such as hair and makeup counts as working time.
3. Overtime is charged at 15% of the daily rate per hour commenced. A grace period of 30 minutes is allowed free of charge.
4. Joint transfers between hotel and location count as working time (up to 1 hour/day is free).

§ 6 Model Fees
The model fee includes the daily rate plus the agreed usage rights, excluding applicable taxes.
1. Fashion Rate Applies to clothing, accessories, shoes, eyewear, etc., provided it is non-commercial.
2. Special Fees Apply to lingerie, underwear, semi-nude, consumer advertising, commercials, or special usages.
3. Half-day / Hourly Bookings Minimum 60% of the full daily rate for local models. Special arrangements are required for other cases.


§ 7 Travel Costs
1. Travel Day Compensation If travel occurs during normal working hours:

• - Up to 2 workdays: 1 full day fee
• - 3–4 workdays: ½ day fee
• - 5+ workdays: no compensation, unless the trip takes a full day

2. Reimbursable Expenses Only for traveling Models: transportation, meals, accommodation from departure location. Reimbursed via per diem or receipts. If multiple clients are involved, costs are proportionately split.

§ 8 Payment Terms
Model fees, expenses, and cancellation charges are due net upon receipt of invoice. Payments may be made in USD or EUR.

§ 9 Complaints & Liability
1. Complaints must be reported immediately to the Agency and documented with photos. If the Model is released and no work occurs, the fee is waived. If work is performed, the right to complain is forfeited.
2. Late arrival due to the Model’s fault results in makeup time or proportional fee deduction.
3. For high-risk assignments, the Client must provide appropriate insurance for the Model. If not agreed beforehand, the Model may decline the job and receive 70% of the fee as a cancellation charge.
4. Liability of the Model and the Agency is limited to twice the total fee, except in cases of intent or gross negligence.

§ 10 Usage Rights
1. Unless otherwise agreed, the Client is granted exclusive usage rights for 12 months for the agreed purpose, medium, and territory (default: USA & EU). The term starts with first use or 60 days after the shoot.
2. Extended uses (e.g. posters, video, packaging, name usage) must be agreed in writing.
3. Usage rights are granted only after full payment. Use before payment is not permitted.


§ 11 Final Provisions
1. U.S. law (Florida) applies unless otherwise agreed. Place of performance is the Agency’s registered office.
2. Changes to bookings or these conditions must be coordinated with the Agency. Clients may not make direct changes with the Model.
3. Invalid provisions do not affect the validity of the remaining terms. The closest legally effective substitute will apply.
4. Jurisdiction for merchants, legal entities, and international clients is the Agency’s registered office in the USA.

§ 12 Artificial Intelligence
Artificial Intelligence, Deepfakes, NFTs, Metaverse, Web3 – Strict Prohibition CURVE strictly prohibits the use of model imagery for AI training, deepfakes, avatar creation, digital manipulation, NFTs, blockchain, metaverse, or Web3 purposes – unless expressly authorized in writing by the Agency.

§ 1 Allgemeines
Diese Bedingungen regeln das Vertragsverhältnis zwischen CURVE Models LLC („Agentur“), den von ihr vertretenen Fotomodellen („Model“) und dem buchenden Kunden („Kunde“), sofern nicht ausdrücklich schriftlich etwas anderes vereinbart wurde. Ziel ist es, eine faire und branchenübliche Zusammenarbeit sicherzustellen und alle Parteien vor unrealistischen Erwartungen zu schützen.

§ 2 Geltungsbereich der Vertretung
1. Erklärungen und Buchungen, die über die Agentur erfolgen, sind im Namen des Models verbindlich. Als Kunde gilt, wer die Buchung über die Agentur vornimmt, sofern nichts anderes schriftlich vereinbart ist.
2. Der Kunde schuldet der Agentur eine Vermittlungsprovision in Höhe von 20% des vereinbarten Modelhonorars oder eines etwaigen Ausfallhonorars (zzgl. gesetzlicher Steuern), sofern nichts anderes schriftlich vereinbart wurde. Eine Haftung der Agentur für das Verhältnis zwischen Kunde und Model ist ausgeschlossen.
3. Der Kunde schuldet die Provision auch bei Folgeaufträgen, solange das Model durch die Agentur vertreten wird. Direktbuchungen am Agenturvertrag vorbei sind unzulässig.

§ 3 Buchungstypen
1. Optionen Optionen sind verbindliche Reservierungen auf Zeit. Sie verfallen, wenn nicht mindestens drei US-Werktage vor Beginn der Tätigkeit (bis 18:00 Uhr Eastern Time) oder innerhalb eines Werktags nach Aufforderung durch die Agentur eine Festbuchung erfolgt. Optionen werden nach Eingang gereiht.
2. Festbuchungen Diese sind für beide Parteien bindend und müssen auf Wunsch schriftlich von der Agentur bestätigt werden.
3. Wetterabhängige Buchungen Diese sind ausdrücklich als solche zu kennzeichnen und nur am Aufenthaltsort des Models gültig. Bei ungünstigen Wetterverhältnissen kann der Kunde bis eine Stunde vor Beginn kostenfrei stornieren; in diesem Fall sind 50% des Honorars zu zahlen.

§ 4 Annullierung
1. Eine Festbuchung kann nur aus triftigem Grund storniert werden und ist der Agentur unverzüglich mitzuteilen.
2. Die Stornierung hat mindestens so viele US-Werktage vor dem Einsatz zu erfolgen, wie Arbeitstage und Reisetage gebucht wurden, mindestens jedoch 3 Werktage.
3. Erfolgt die Stornierung vor 12:00 Uhr mittags (Ortszeit), zählt dieser Tag mit.
4. Tages- und Stundenbuchungen müssen mindestens 24 Stunden vorher abgesagt werden.
5. Im Falle einer Absage durch das Model bemüht sich die Agentur um gleichwertigen Ersatz.
6. Bei verspäteter oder unbegründeter Absage ist das volle Honorar zu zahlen.

§ 5 Arbeitszeit
1. Eine Tagesbuchung umfasst 8 Stunden, eine Halbtagesbuchung 4 Stunden. Standardzeit: 9:00–18:00 Uhr mit 1 Stunde Pause.
2. Die Arbeitszeit beginnt mit Ankunft des Models am vereinbarten Ort. Vorbereitungen wie Make-up und Frisur zählen zur Arbeitszeit.
3. Überstunden werden mit 15% des Tagessatzes pro angefangene Stunde berechnet. Eine Kulanzzeit von 30 Minuten ist frei.
4. Gemeinsame Transfers zwischen Hotel und Location zählen zur Arbeitszeit (bis 1 Stunde/Tag kostenfrei).

§ 6 Modelhonorar
Das Honorar umfasst das Tagessatzhonorar sowie die vereinbarten Nutzungsrechte zzgl. Steuern.
1. Modetarif Gilt für Bekleidung, Accessoires, Schuhe, Brillen etc., sofern nicht werblich.
2. Sonderhonorar Gilt für Lingerie, Wäsche, Teilakt, Konsumgüterwerbung, Werbespots oder Sondernutzungen.
3. Halbtags- / Stundenbuchungen Mindestens 60% des Tagessatzes bei lokalen Models. Für andere Fälle ist eine gesonderte Vereinbarung notwendig.

§ 7 Reisekosten
1. Reisetagevergütung Bei Reisezeit innerhalb der üblichen Arbeitszeiten gilt:

• - bis 2 Arbeitstage: 1 Tagessatz
• - 3–4 Tage: ½ Tagessatz
• - ab 5 Tagen: keine Vergütung, außer bei ganztägiger Reise

2. Erstattbare Kosten Nur für reisende Models: Fahrt, Verpflegung, Übernachtung ab Abflug-/Abfahrtsort. Erstattung nach Pauschale oder Belegen. Bei mehreren Kunden werden die Kosten anteilig aufgeteilt.

§ 8 Zahlungsbedingung
Modelhonorar, Spesen und Ausfallhonorar sind nach Rechnungseingang ohne Abzug fällig. Zahlungen in USD oder EUR.

§ 9 Reklamation & Haftung
1. Beanstandungen sind der Agentur sofort mitzuteilen und durch Fotos zu belegen. Wird das Model freigestellt und keine Arbeit erfolgt, entfällt das Honorar. Wird gearbeitet, gilt der Anspruch als verwirkt.
2. Verspätung durch Eigenverschulden führt zur Nachleistung oder anteiligem Honorarabzug.
3. Bei risikoreichen Shootings muss der Kunde eine Versicherung für das Model abschließen. Fehlt eine solche Vereinbarung, darf das Model ablehnen und erhält 70% des Honorars als Ausfallhonorar.
4. Die Haftung von Model und Agentur ist – außer bei Vorsatz oder grober Fahrlässigkeit – auf das doppelte Gesamthonorar begrenzt.

§ 10 Nutzungsrechte
1. Sofern nicht anders vereinbart, erhält der Kunde exklusive Nutzungsrechte für 12 Monate, für den vereinbarten Zweck, das Medium und die Region (Standard: USA & EU). Frist beginnt mit Nutzung oder 60 Tage nach dem Shooting.
2. Erweiterte Nutzungen (z.B. Poster, Video, Verpackung, Namensnennung) sind schriftlich zu vereinbaren.
3. Nutzungsrechte gelten erst nach vollständiger Zahlung. Nutzung vor Zahlung ist unzulässig.

§ 11 Schlussbestimmungen
1. Es gilt US-amerikanisches Recht (Florida), sofern nichts anderes vereinbart. Erfüllungsort ist der Sitz der Agentur.
2. Änderungen der Buchung oder dieser Bedingungen bedürfen der vorherigen Abstimmung mit der Agentur. Der Kunde darf keine direkten Änderungen mit dem Model vereinbaren.
3. Die Unwirksamkeit einzelner Bestimmungen berührt nicht die Gültigkeit der übrigen. Anstelle nichtiger Regelungen gilt sinngemäß das, was wirtschaftlich am nächsten kommt.
4. Gerichtsstand für Kaufleute, juristische Personen und internationale Kunden ist der Sitz der Agentur in den USA.

§ 12 Künstliche Intelligenz
Künstliche Intelligenz, Deepfakes, NFTs, Metaverse, Web3 – Verbot CURVE untersagt ausdrücklich jegliche Nutzung von Bildmaterial der Models für KI-Training, Deepfakes, Avatare, digitale Manipulation, NFTs, Blockchain, Metaverse oder Web3-Zwecke – außer mit ausdrücklicher schriftlicher Zustimmung der Agentur.
